Terms & Conditions.

These Terms & Conditions (“Terms”) govern all services provided by Primus Global Logistics (“Company,” “we,” “our,” or “us”). By booking a shipment, using our website, or availing our services, you (“Customer,” “Shipper”) agree to be bound by these Terms on your own behalf and on behalf of the consignee and any third party with an interest in the shipment.
1. Definitions
- “Shipment” means all goods, parcels, or documents transported under one airway bill, consignment note, or shipping label.
- “Waybill” includes any physical or electronic shipping document, barcode, or label used for shipment identification.
- “Customer/Shipper” refers to the person or entity booking the shipment.
- “Consignee” refers to the recipient of the shipment.
- “Carriers” refer to third-party logistics providers including DHL, FedEx, UPS, Aramex, or any subcontracted service provider.
(These definitions mirror industry-standard carriage contracts used globally.)
2. Nature of Services (Agent Clause)
Primus Global Logistics operates primarily as a third-party logistics provider (3PL) and may act:
- As an agent on behalf of the Customer to arrange transportation with third-party carriers, or
- As a principal contractor in limited cases.
When acting as an agent:
- The contract of carriage is between the Customer and the carrier.
- We are not liable for acts, omissions, or negligence of third-party carriers.
3. Acceptance of Terms
By handing over a shipment or booking services:
- You confirm acceptance of these Terms for yourself and the consignee.
- These Terms override any conflicting terms unless agreed in writing.
- The waybill and shipment documentation form part of the binding contract.
4. Customer Obligations
You agree and warrant that:
- All shipment details (value, weight, contents) are accurate.
- Goods are legal, safe, and compliant with applicable laws.
- Proper packaging has been done to withstand normal transport conditions.
- You are the owner or authorized agent of the goods.
Failure to comply may result in penalties, confiscation, or legal liability.
5. Prohibited and Restricted Goods
You shall not ship items that:
- Are illegal, hazardous, explosive, or flammable.
- Include currency, bearer instruments, narcotics, or contraband.
- Violate customs laws of origin or destination country.
We reserve the right to:
- Refuse or cancel shipments.
- Open and inspect shipments without notice for safety or compliance.
6. Right to Inspect and Route Shipments
We and our carriers:
- May open and inspect shipments without prior notice.
- May transport shipments via any route, method, or subcontractor.
Carriers are not obligated to follow a specific route or method of transport.
7. Pricing, Charges, and Payments
- Charges are based on volumetric weight, actual weight, and destination.
- Additional charges may apply for fuel surcharge, remote area delivery, customs duties and taxes, and storage, handling, or re-attempt delivery.
All payments must be cleared before shipment processing unless credit terms are agreed.
8. Customs, Duties, and Compliance
For international shipments:
- Customer is responsible for all customs documentation and compliance.
- Duties, taxes, and penalties are payable by the Customer or consignee.
- Delays due to customs are outside our control.
Global trade terms such as Incoterms® may apply to determine responsibility allocation.
9. Delivery and Transit Time
- Delivery timelines are estimates only and not guaranteed.
- Delays may occur due to customs clearance, weather conditions, operational disruptions, or government restrictions.
We do not guarantee time-definite delivery unless explicitly stated.
10. Limitation of Liability
All shipments are transported on a limited liability basis, similar to global carriers:
- We are not liable for loss, damage, or delay caused by third-party carriers; improper packaging or misdeclaration; natural events (force majeure); or actions of customs or government authorities.
- Liability, if applicable, shall be limited to the carrier’s liability terms or declared value, whichever is lower.
11. Force Majeure
We are not liable for failure or delay due to events beyond our control, including natural disasters, war, strikes or civil unrest, government actions or regulatory changes, and pandemics or supply chain disruptions.
12. Insurance
- Shipments are not insured by default.
- Customers must request insurance separately.
- Claims must be raised within the carrier’s specified timeline.
We assist with claims but do not guarantee approval.
13. Claims and Disputes
- Claims for loss/damage must be reported within prescribed timelines.
- Supporting documents (invoice, images, proof of value) are required.
- Compensation is subject to carrier approval and liability limits.
14. Indemnity
You agree to indemnify and hold harmless Primus Global Logistics against any claims arising from shipment contents, legal violations, misdeclaration, or improper packaging, and customs penalties or regulatory fines.
15. Cancellation and Refunds
- Cancellation allowed only before shipment dispatch.
- No cancellation after handover to carrier.
- Refunds (if applicable) are subject to deductions.
16. Intellectual Property
All website content, branding, and materials are owned by Primus Global Logistics and cannot be used without permission.
17. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. All disputes shall fall under the jurisdiction of courts in Delhi.
18. Amendments
We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of revised Terms.
